Me and 4 other people are trying to start a business and we all met at a business competition. It’s a great idea but for obvious reasons I don’t want to say here what it is. The problem is that I feel like I’m the only guy doing the hard work.
There’s the founder, she does the 2nd most work but she’s been running it poorly. Great to talk to and she’s cool, but she’s not doing a good job at all as a leader.
Her brother, ever since the last competition he hasn’t been to any meetings or anything. I think he’s on his way out anyways.
Then there’s two other guys that they’re cool but only do what they’re told. They don’t have any initiative at all to do anything on their own and haven’t really done much.
Most of us are students besides the founder and her brother. The founder might be quitting her job soon to pursue this more seriously but who knows. For the first two business competitions we did we did a lot of work but last one was in March and things have slowed way down. The amount of work that’s been done since then all could’ve been done in a weekend.
Basically should I just leave, stay, or leave and “steal” the idea. I really hate the idea of stealing and probably won’t do that at all to be honest. but everyone else in The group don’t seem to be efficient at all.

Leave and steal the idea you pussy. If you're ACTUALLY the one doing all the work and this isn't some grand illusion then go do it on your own/with better people. If you're the hot shit you think you are it'll be successful and years down the line this bitch and her brother will sue you for half of it and you'll settle for a fraction of that and be fine because it's a great idea and company that you've built to success.
If it's not successful all this doesn't matter and you failed anyway, and no one will sue you because they won't fucking know about you. If you're mildly successful and they find out and sue you and it cripples you/the company then you weren't really successful enough in the first place.

Set up a company in a foreign jurisdiction that doesn't pay much tax/hides your name (through a solicitor as an example). If your idea is good then some one else will steal the idea anyways. Not payin tax means you can make more money even though you your product is potentially cheaper...

I did talk to her once already, didn’t threaten to leave but I told her how shit everything has been lately about a month ago. I do keep talking about incorporating, ownership, and such but I’m just getting the run around on that shit. Her problem like most college students (im a vet so I guess that makes me different) is they’re worried about being PC and rocking the boat whereas I’m very straightforward but I’ve tried to tone myself down to not offend anyone. I think you guys are right I should threaten to leave, she even said how I’m the “top guy” or whatever so I deff have some sway with this shit. I might try and see if she’ll “step down” and let me take over. Would that be a smart idea to basically subtly take control of her own company? We haven’t signed incorporation papers or anything like that so there’s still time for that.
Appreciate the advice, I guess I needed to hear it to help with my decision. This is my first time doing something like this so I’m always a little anxious about fucking up

as long as they are present and available for 8 hours a day, then that would be okay i guess. if they are sitting at home while you are working, then its not okay and you should speak out. you should get more percentage of the shares if you are working more hours. also you could get a lawyer to make this all into contract.

First you have a real talk with the "boss". Write down what is wrong and what structure for the company you want. Basically take a piece of paper and a pen and write all of you grievances on it, and ideally add solutions. Then tell her like a businessman to businessman that if that won't change you are going to leave, and because you are doing all the work, she's going to tank. The end. Don't tell and scream. Just have a business conversation.

I'm in a similar situation where an idea guy came to me to build an app. He outlined the idea and I explained how I could help him build it but demanded that he take it seriously and incorporate first before I wrote a single line of code. He did because I was firm about this. Laid out everything in writing and forced him to take it serious. We hired another developer and things have been going well though he wanted more control so I sold my stake for a lump sum and now I'm leaving to a job that pays better. I believed in the idea we fleshed out at first but he fell victim to scope-creep and spent all his money trying to develop something that was satisfied his delusions of grandeur instead of being effective and simple. When I was offered the buy-out I took it because I realized that we didn't share the same vision and he didn't take my advice. We now have an alpha version of an app but it is significantly worse than I had envisioned. Still, he's fairly satisfied and I've been paid.
Personally, I wish we could've remained partners and made something glorious, but he wasn't enough of a professional to pull it off so I cut my losses. I suggest you demand legal recourse in the form of equity or salary as well. That way, even if the company fails, your career doesn't go with it.

The thing is we aren’t an app, we’re going to be a physical location. Right now we’re layin the groundwork and testing stuff out so at the moment we aren’t making any money. We’re about to spend some money on prototype stuff for beta testing before we seek real funding. Because we’re pretty early in our development I think that’s why I’m getting the run around talking about money, legal, etc. I’m putting my foot down next time I talk to her and we’ll see what happens because I don’t want to waste time on something that’s going to fail because of the team. But we’re at the point now where we need to incorporate anyways because we’re just starting to deal with money so I think I have a good argument now versus a couple months ago when I brought all of this stuff up

I've worked on a self-proclaimed startup for about a year now, it's basically a healthcare insurance for poor people. Gave my blood, single-handedly built their IT system and website, managed the company social networks (which I hate to do), fixed computers and stuff, and guess what: I haven't been paid in *literally* 7 months. That's right, all of my paychecks as of 2018 are late. And although my boss (also a woman) trusts me and we became friends, she would rather trust people who do nothing and sit all day taking pictures of their work desk, pretending they're working and stuff.
Startups are cancer. Kinda miss being a NEET.

Yeah I'd just refuse to do anything more until you have written confirmation of company ownership and responsibilities. It's really not hard to write up at least a preliminary one where it says "person x owns 25% etc" where you all sign then everyone gets a copy for their records. Then she can go to the state and file for an LLC with partial ownership or LLP.

We’re doing this through our uni startup program so we can actually do this for free which is cool. When I brought this up in the past she said she thinks ownership should be determined by how much money you put in. I’m on the fence on that because it makes sense but if you do more work than money that should mean something too. Not sure which way would be better in that case.
