If the SEC has slapped him a couple times he might have a hard time trading those shares out.. even if he already bought them. I've bought convertable notes before that have been turned down by just about every broker i went to because the person the note belonged to has been slapped by the SEC or investigated at one point or just has a bad reputation.
Also don't have the time too look into how the conversion took place, there are sometimes filings telling you how the stock converted.. also if they just converted it takes awhile to actually clear the shares to sell them.. they don't just clear and sell right away.. when people say that they are straight lieing.. there are ways to speed up the process but most of the time it takes atleast a week to get the shares ready for sell...
