That said, I wouldn't doubt they have a clause somewhere in their EULA that prohibits 3rd party distribution of the software, and not the license, unless you are an "authorized partner" or something like that. Hence many refurbishers list themselves as "Microsoft authorized."

It's free to download and use for licensees.
