That's not entirely true. Usually when a company is bought out by another, it's at a premium over market price at the time of the deal. Generally speaking you will receive a better deal in this scenario if you're holding shares of the company being purchased, be it shares of the buying company in exchange or cash (usually its shares plus sometimes warrants).
