They have some shenanigans going on where there are two tiers of shareholder, and the "B class" get 10 votes per share while everybody else only gets 1 vote per share. Only the internal management have "B class" shares, and Zuckerberg has enough of them that he has 60% of the votes, so he can force through whatever he wants. Facebook is his bitch.

This is exactly the same thing that happened with Michael Eisner at Disney.
He basically had the board of directors by the balls and stayed at the company for ages and flat out refused to leave. He also held a crapton of stock in the company.
Only after Roy Disney started waging a public campaign against him were they able to get rid of him.
